John Paul Karas specializes in the representation of start-up and emerging growth companies throughout various stages of their lifecycles, including corporate formation and structuring, venture capital financing transactions, corporate governance and securities matters, private secondary markets, mergers and acquisitions, and public offerings.  John Paul counsels companies in various industries, including AI & machine learning, biotech, fintech, E-commerce, gaming & esports, cybersecurity, and renewable energy.

Representative Transactions

  • Representation of The Athletic Media Company in its sale to The New York Times Company for $550 million.
  • Representation of Betty Labs, Inc. in its sale to Spotify, Inc.
  • Representation of cloud-based security platform in buy-side acquisitions and asset purchases (for cash, stock and debt) in 11 unique transactions totaling more than $450 million.
  • Representation of Arctic Wolf, Inc. a leader in security operations, in its $200 million Series E financing at a valuation of $1.3 billion.
  • Series A preferred stock and warrant financing, convertible note financing, Series B and B-1 financing, Series C financing and convertible note and warrant financing for B2B SaaS company.
  • Advised financial technology company client from formation to its current unicorn status.
  • Managed extensive corporate clean-up and ratification process pursuant to Section 204 of the Delaware General Corporation Law.
