James Kardon

Senior Counsel

James Kardon is an experienced corporate and securities lawyer who helps investors, entrepreneurs, issuers, investment advisers and investment bankers navigate the complexities of financing or investing in new companies, growing established private companies, raising funds privately or going public and embarking upon often complex mergers, acquisitions and divestitures. James helps clients:

  • launch angel and venture capital private financings
  • make private investments in public entities (PIPEs)
  • form private funds
  • go public (both from the issuer and underwriter side)
  • comply with securities disclosure rules
  • complete mergers and acquisitions, including public company combinations, purchases and sales of private companies and sales of businesses and other assets in bankruptcy.

James also provides valuable counsel and strategic guidance in reorganizations, executive compensation, distribution, licensing and product sales contracts, software development contracts, joint ventures and other general corporate matters.  He has worked extensively in industries including investment banking, telecommunications, investment management, financial services, shipping, pharmaceuticals and real estate.

James has served as counsel in international transactions, including the sale of a Spanish company operating in seven Latin American countries, Hong Kong and Israel; the organization of off-shore private equity funds; shipping finance; and private equity investing in China, Canada, Israel, New Zealand, Pakistan and Georgia. He also supports nonprofit endeavors, including an opera company, and serves as their legal counsel.

James speaks French fluently and has a working knowledge of Italian and Spanish.
