Travel Curious Ltd, a UK company and the developer and operator of an innovative B2B travel technology platform, has successfully completed a complex, three-part transaction consisting of (1) a “Delaware flip” pursuant to which the shareholders of Travel Curious Ltd. exchanged their shares of stock for shares of common stock of a newly-formed Delaware corporation, Travel Curious Group Inc., after which the UK company became a wholly-owned subsidiary of the Delaware corporation, (2) Travel Curious Group Inc. purchased substantially all the assets of Redeam, Inc., a Delaware corporation that owns and operates a technology platform that helps ‘experience businesses’ connect with third-party sellers, and (3) Travel Curious Group Inc. held an initial closing of the sale of up to $4 million of series seed preferred stock.
ELG was Travel Curious’s primary legal representation on these transactions and was involved from the inception of these transactions through their closing, including structuring, conducting due diligence, negotiating the definitive documents and completing all three transactions within an accelerated time frame.
